These Terms of Service ("Terms") govern your use of the Reply Fast website at https://reply-fast.com ("Website") and the review management services provided by Reply Fast ("Services"). By using our Website and Services, you agree to these Terms.

If you do not agree with these Terms, please do not use our Services.

1. Description of Reply Fast

Reply Fast is a software-as-a-service (SaaS) platform that provides review management tools for local businesses. Our Services enable you to:

• Aggregate reviews from multiple platforms (Google, Yelp, TripAdvisor, Facebook) in one centralized dashboard
• Receive AI-powered response drafts for customer reviews
• Get real-time notifications when new reviews are posted
• Access analytics and insights about your business reputation
• Manage multiple business locations from a single account
• Configure custom brand voice settings for AI-generated responses

2. Account Registration and Eligibility

To use our Services, you must:

• Be at least 18 years of age
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Be a business owner or authorized representative of the business you are managing

You are responsible for all activities that occur under your account. If you suspect unauthorized use of your account, please notify us immediately at info@reply-fast.com.

3. Subscription and Payment

3.1 Subscription Plans

Reply Fast offers subscription-based pricing plans with different features and location limits. Subscription fees are billed monthly or annually, depending on your selected plan. All prices are displayed in USD and are subject to change with 30 days' notice.

3.2 Payment Processing

Payments are processed securely through Stripe, our third-party payment processor. By subscribing to our Services, you authorize us to charge your payment method on a recurring basis according to your selected billing cycle.

3.3 Free Trial

New users may be eligible for a 14-day free trial period. No payment is required during the trial period. If you do not cancel before the trial ends, your subscription will automatically begin, and your payment method will be charged.

3.4 Refund Policy

We offer a 14-day money-back guarantee for new subscriptions. If you are not satisfied with our Services within 14 days of your first payment, you may request a full refund by contacting us at info@reply-fast.com. Refunds are not available for subscription renewals or after the initial 14-day period.

3.5 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at info@reply-fast.com. Upon cancellation, you will retain access to the Services until the end of your current billing period. No refunds will be provided for partial billing periods.

4. User Data and Privacy

We collect and store user data, including your name, email address, payment information, business data, and review content from connected platforms. 5. Data Ownership and Usage Rights

5.1 Your Data

You retain full ownership of all data you provide to Reply Fast, including business information, review data, and generated responses. You may export or delete your data at any time through your account settings.

5.2 AI-Generated Responses

Reply Fast uses OpenAI's API to generate response drafts for your reviews. While we provide AI-generated suggestions, you are solely responsible for reviewing, editing, and publishing responses to your customers. We do not automatically post responses on your behalf.

5.3 Platform Integration

By connecting third-party platforms (Google, Yelp, TripAdvisor, Facebook) to Reply Fast, you grant us permission to access and fetch review data from these platforms on your behalf using web scraping (Apify) or OAuth authentication. You are responsible for ensuring you have the necessary rights and permissions to connect these platforms.

6. Acceptable Use Policy

You agree not to use Reply Fast for any unlawful or prohibited purpose. Specifically, you agree not to:

• Violate any applicable laws or regulations
• Post fake, fraudulent, or misleading reviews
• Use the Services to harass, abuse, or harm others
• Attempt to gain unauthorized access to our systems or other users' accounts
• Reverse engineer, decompile, or attempt to extract source code from our Services
• Use automated scripts or bots to access the Services (except as provided through our API)
• Resell or redistribute our Services without written permission
• Violate the terms of service of connected platforms (Google, Yelp, TripAdvisor, Facebook)

We reserve the right to suspend or terminate your account if you violate this Acceptable Use Policy.

7. Service Availability and Modifications

We strive to provide reliable and uninterrupted Services, but we do not guarantee that our Services will be available at all times or free from errors. We reserve the right to:

• Modify, suspend, or discontinue any part of the Services at any time
• Update features, pricing, or functionality with reasonable notice
• Perform scheduled maintenance that may temporarily affect Service availability

We will make reasonable efforts to notify you in advance of significant changes or scheduled downtime.

8. Third-Party Services and Integrations

Reply Fast integrates with third-party services including:

• Stripe for payment processing
• Apify for web scraping and review fetching
• OpenAI for AI-powered response generation
• Resend for email notifications
• Google, Yelp, TripAdvisor, Facebook for review platform connections

These third-party services have their own terms of service and privacy policies. We are not responsible for the practices or performance of these third-party services. Your use of integrated platforms is subject to their respective terms and conditions.

9. Intellectual Property

Reply Fast and all related trademarks, logos, and content are the property of Vanessa & Onur Toy GbR. You may not use our intellectual property without our written permission. The software, design, and underlying technology of Reply Fast are protected by copyright and other intellectual property laws.

10. Limitation of Liability

To the maximum extent permitted by law, Reply Fast and its operators (Vanessa & Onur Toy GbR) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of revenue, profits, or business opportunities
• Data loss or corruption
• Service interruptions or downtime
• Damages resulting from AI-generated responses or review management actions
• Issues arising from third-party platform integrations

Our total liability to you for any claims arising from the use of our Services shall not exceed the amount you paid to Reply Fast in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Reply Fast, Vanessa & Onur Toy GbR, and their affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights or privacy rights
• Responses you publish to customers using our Services

12. Disclaimer of Warranties

Reply Fast is provided "as is" and "as available" without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to:

• Merchantability and fitness for a particular purpose
• Accuracy or reliability of AI-generated responses
• Uninterrupted or error-free operation
• Security of data transmission or storage

You use the Services at your own risk.

13. Termination

We reserve the right to suspend or terminate your account and access to the Services at any time, with or without notice, for:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of subscription fees
• Abusive behavior toward our staff or other users

Upon termination, your right to use the Services will immediately cease. You may export your data before termination. We are not obligated to retain your data after account termination.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Germany, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Services shall be subject to the exclusive jurisdiction of the courts in Regensburg, Germany.
